The Companies Act 2016 has been drawn up to empower directors to carry out payment of dividends, share buy-back, financial assistance, redemption of preference shares and reduction of capital provided safeguards are in place to protect stakeholders, in particular creditors. Hence, the introduction of the Solvency Test and for some of the above exercises, the mandatory Solvency Statements. With power comes with responsibilities and accountabilities. Consequences of breaching the law is severe where very stiff penalties will be imposed on directors and officers of a company in default.
