Whilst a company is regarded as a legal entity, in reality, it is an empty vehicle and relies on its directors to run its business and manage its affairs. Hence, a director, as an officer of a company, bears a great responsibility and owes various common law, statutory and fiduciary duties to the company.
Ordinarily, a director would be appointed in accordance with the constitution of the company and the statutory provisions. However, there are instances where even if a person is not appointed as a director, he or she may be so entrenched in the management and affairs of the company that the law may regard that he or she be treated as a director of the company.
